1. Definitions

1. “Company” refers to HARDNERO LTD.
2. “Voucher” refers to the digital or physical voucher issued by the Company for
business partners.
3. “Distribution Partner” refers to a company authorized by the Company to distribute
vouchers in a specific country.
4. “End Customer” refers to the final purchaser of the voucher from a distribution
partner.

2. Voucher Issuance

Vouchers are issued digitally via the Company platform or via authorized distribution
partners. Each voucher is uniquely coded and tracked by the Company.

3. Purchase Conditions

Distribution partners may purchase vouchers only if they are legally registered
companies and have a valid VAT number.

4. Voucher Price

The price of each voucher is the net price listed on the Company website at the time of
purchase. All prices exclude VAT and applicable taxes.

5. Voucher Validity

Vouchers are valid for 7 calendar days from the order date. If payment is delayed, the
validity period still starts from the original order/invoice date.

6. Restrictions

Vouchers cannot be resold to unauthorized parties. Distribution partners must comply
with local laws and regulations.

7. Payment

Payment for vouchers must be completed within 2 days of the order. Late payments
incur interest as per UK statutory law.

8. Refunds & Returns

Vouchers may not be refunded, except as explicitly provided in the voucher buyback
policy.

9. Liability

The Company is not liable for lost, stolen, or misused vouchers. Distribution partners
assume responsibility for proper storage and handling.

10. Intellectual Property

All content, logos, and trademarks on the vouchers and the Company website remain
the property of the Company.

11. Governing Law

All transactions and agreements are governed by the laws of England and Wales.

12. Data Protection

Distribution partners and end customers’ personal data are processed in accordance
with GDPR and the Company privacy policy.

13. Termination

The Company may terminate the relationship with a distribution partner at any time if
terms and conditions are violated.

14. Force Majeure

The Company is not liable for failure to perform due to circumstances beyond its
reasonable control.

15. Voucher Buyback

1. The Company offers a voucher buyback at 97% of the net purchase price at any
time, including before the 7-day validity period expires.
2. Vouchers older than 7 days are no longer valid for automatic buyback. The end
customer must request buyback via the form on the Company website.
3. Buyback is handled exclusively by HARDNERO LTD; distribution partners in each
country are not involved.
4. Distribution partners for each country can be checked on the Company website.
5. All distribution partners are strictly reviewed monthly for VAT number validity,
company registry entries, and registered addresses.
16. Voucher Validity & Order Date
1. The 7-day voucher validity period starts from the order date.
2. If payment is received after the order date, the validity period is still based on the
original order/invoice date.
3. If payment takes longer than 7 days, the voucher expires, and all buyback rights are
void.

17. Payment Terms

1. Distribution partners must settle invoices within 2 days of the due date.
2. Late payment interest will accrue daily, in accordance with UK law: 8% per annum
above the Bank of England base rate, unless otherwise agreed.

18. Reminder & Debt Collection

1. In case of non-payment, a reminder process will be initiated:
- 1st reminder: 7 days after due date
- 2nd reminder: 14 days after due date
- Further action: Referral to debt collection / court enforcement.
2. Once referred to debt collection or court enforcement, the distribution partner will be
suspended from further purchases until revoked.

19. General Terms

1. All vouchers are non-transferable except as expressly allowed by the Company.
2. Distribution partners must comply with all local laws and regulations when reselling
vouchers.
3. The Company reserves the right to amend these Terms & Conditions at any time,
with updates published on the Company website.
